1. Agreement to Terms
By purchasing any service or product from Easy Claw NYC ("we," "us," or "our"), you ("you" or "Customer") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not purchase our services.
You represent that you are at least 18 years of age and have the legal authority to enter into binding agreements. If you are purchasing on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
2. Description of Services
Easy Claw NYC provides a one-time, on-premises installation service. We install and configure open-source AI agent software, such as OpenClaw or one of its variants or forks (collectively, "the Software"), on hardware located at your premises. We may also provide hardware as part of your purchase.
Each installation includes:
- A dedicated security router for network isolation
- Software installation and configuration
- On-site guided walkthrough and documentation
- One (1) thirty-minute pre-install consulting session via video call
- Post-installation email support for basic questions
Our service is a single installation visit. Once the installation is complete, the service is concluded. We do not provide ongoing hosting, managed services, platform-as-a-service, continuous monitoring, maintenance, updates, or any other ongoing obligation unless separately agreed to in writing under a separate Master Service Agreement.
Additional consulting is available at our then-current hourly rate and is subject to separate terms.
3. Hardware
Depending on your order, we may provide hardware (such as a Mac Mini, refurbished desktop PC, or Raspberry Pi) or install software on hardware you provide.
Hardware We Provide
Hardware sold by Easy Claw NYC is provided "as is." We pass through any applicable manufacturer warranty but make no independent warranty of our own regarding the hardware. Title and risk of loss for hardware we provide passes to you upon delivery to the installation site.
Hardware You Provide
If you supply your own hardware for installation, you are solely responsible for its condition, compatibility, performance, and fitness for purpose. We assume no liability whatsoever for any issues arising from customer-provided hardware, including but not limited to hardware failure, data loss, incompatibility, or insufficient performance.
In either case, we are not responsible for hardware failures, power issues, environmental damage, theft, or any other hardware-related issues occurring after installation.
4. Open-Source Software
The Software is free, open-source software developed and maintained entirely by third parties. Easy Claw NYC did not create the Software, does not maintain it, does not contribute to its development, and has no control over its codebase, roadmap, releases, or continued existence.
The Software is licensed under its own open-source license terms. To the extent there is any conflict between these Terms and the applicable open-source license governing the Software, the open-source license shall prevail with respect to the Software itself.
You are responsible for understanding and complying with the Software's license and any third-party licenses for its dependencies and integrations.
We make no representation or warranty whatsoever that the Software will:
- Perform as expected, described, or advertised by its developers
- Be free of bugs, errors, vulnerabilities, or security flaws
- Continue to be maintained, updated, or supported by its developers
- Remain compatible with any third-party services, APIs, platforms, or AI models
- Remain available for download or use
We are not responsible for any changes, discontinuation, breaking updates, or modifications to the Software made by its upstream developers or community after installation.
5. AI Agent Behavior and Self-Modification
This section is critical. Please read it carefully.
The Software is an autonomous AI agent. By its nature, the agent can and will make changes to its own configuration, including modifying its settings, memory, tool connections, integrations, and behavioral patterns. This is a core feature of the Software, not a defect.
We configure the agent during your installation appointment. However, we cannot and do not guarantee that the agent's behavior, output, configuration, or state will remain unchanged after the installation is complete. The agent may autonomously alter any aspect of its own operation at any time.
The agent may interact with third-party services including but not limited to email providers, messaging platforms, calendar services, APIs, and websites. We have no control over these interactions after installation.
You accept full and sole responsibility for:
- All actions taken by the AI agent after installation, whether intended or unintended
- Any data the agent accesses, creates, modifies, sends, discloses, or deletes
- Any communications sent by the agent on your behalf
- Any third-party interactions or transactions initiated by the agent
- Monitoring and supervising the agent's behavior on an ongoing basis
- Revoking access permissions or disabling the agent if its behavior is undesirable
We strongly recommend maintaining regular backups of all critical data and actively monitoring the agent's activities.
6. No Warranty
ALL SERVICES, HARDWARE (TO THE EXTENT NOT COVERED BY A MANUFACTURER WARRANTY), AND SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EASY CLAW NYC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- WARRANTIES ARISING FROM COURSE OF DEALING, USAGE OF TRADE, OR COURSE OF PERFORMANCE
We do not warrant that the installation will meet your specific requirements, that the system will operate without interruption or error, that any defects will be corrected, or that the system will be secure from unauthorized access.
Your sole and exclusive remedy for any dissatisfaction with the service or the installed system is to cease using it.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EASY CLAW NYC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, data, business, or goodwill
- Cost of procurement of substitute goods or services
- Damages resulting from unauthorized access to or alteration of your data
- Damages resulting from any actions taken by the AI agent
- Damages resulting from communications sent by the AI agent
- Damages resulting from third-party service outages, changes, or discontinuation
- Damages resulting from upstream software updates or breaking changes
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO EASY CLAW NYC FOR THE SPECIFIC INSTALLATION GIVING RISE TO THE CLAIM.
These limitations apply regardless of the legal theory upon which the claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, and even if Easy Claw NYC has been advised of the possibility of such damages.
8. Indemnification
You agree to indemnify, defend, and hold harmless Easy Claw NYC, its owners, employees, and contractors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the installed system after the installation is complete
- Any actions taken by the AI agent, whether intended or unintended
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third-party rights, including intellectual property rights
- Any data breach, security incident, or unauthorized access occurring on your hardware or network after installation
- Any claims made by third parties arising from the AI agent's actions or communications
9. Payment and Refund Policy
All prices are listed in US dollars. Payment is processed securely via Stripe at the time of purchase.
All sales are final. No refunds, credits, or exchanges.
If we are unable to complete the installation for reasons within our control, we will either reschedule the installation or issue a full refund at our sole discretion.
Travel fees are calculated at the time of purchase based on the distance to your location and are non-refundable. Additional consulting hours, if purchased, are billed separately.
10. Service Area and Scheduling
We serve the New York City metropolitan area, including parts of New Jersey, Connecticut, Pennsylvania, and Long Island. Travel within 25 miles is included in the base price; fees apply beyond that distance.
Installation appointments are scheduled after purchase and completion of the onboarding survey. We reserve the right to reschedule installations due to weather, travel conditions, or other circumstances beyond our reasonable control.
11. Customer Responsibilities
You are responsible for:
- Providing a suitable installation environment with adequate power, internet connectivity, and physical space
- Ensuring an authorized representative is present during the entire installation
- Providing accurate and complete information in the onboarding survey
- Maintaining and securing the installed system after installation is complete
- Backing up all data on your systems before and after installation
- All API keys, subscriptions, and service accounts used by the AI agent, including any costs for AI model usage (e.g., Claude API, ChatGPT API, or any other provider)
- Complying with all applicable laws and regulations regarding AI use, data privacy, and automated communications in your jurisdiction
12. Intellectual Property
The Software and all related open-source software installed during the service are subject to their respective open-source licenses. Easy Claw NYC claims no intellectual property rights over any open-source software.
Documentation provided during the installation is the property of Easy Claw NYC and is licensed to you for your internal use only.
The Easy Claw NYC name, logo, and branding are our property and may not be used without written permission.
13. Privacy and Data
We collect personal information (name, email, phone number, address) solely for the purpose of fulfilling your order and scheduling the installation.
We do not have ongoing access to your hardware, network, or AI agent after the installation is complete. We do not access, store, monitor, or collect any data from your installed system.
Your payment information is processed directly by Stripe. We never see, transmit, or store your credit card details.

14. Termination
The service relationship concludes upon completion of the installation, or ninety (90) days after the date of purchase, whichever comes first. The included pre-install consulting session must be scheduled prior to the installation date.
Sections of these Terms that by their nature should survive termination shall survive, including but not limited to: No Warranty, Limitation of Liability, Indemnification, Intellectual Property, and Governing Law.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from or related to these Terms or the services shall be resolved in the courts of competent jurisdiction where Easy Claw NYC maintains its principal place of business.
You agree to attempt to resolve any dispute informally by contacting us before initiating any formal legal proceedings.
16. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your purchase constitutes acceptance of the Terms in effect at the time of purchase. Modifications do not apply retroactively to installations already completed.
